Terms & Conditions Agreement

Products

Affluent Life Branding offers an extensive portfolio for all customers to view before doing business so that the client may be fully informed and aware of Affluent Life Branding’s products before purchasing, enabling the client to make an informed and clear decision as to whether or not they want Affluent Life Branding’s products. Whether or not the client decides to view this extensive portfolio offered by Affluent Life Branding, by purchasing any of Affluent Life Branding’s products, the client is agreeing to receive the desired products presented to them and discussed beforehand. Regarding refunds for all products provided by Affluent Life Branding, because the production for all products provided by Affluent Life Branding require an unexchangeable amount of time, all payments made by the client to produce the desired products from the client are non-refundable, whether the desired products from the client are completed or not. Therefore if any project to produce a product from Affluent Life Branding is canceled or postponed, all monies paid are retained by Affluent Life Branding, and if applicable a fee for all work completed beyond what was already paid for, shall be paid by the client. Unless the client stops the production of their desired products from Affluent Life Branding, resulting in the desired product to be incomplete, once all payments are made and received per desired product from Affluent Life Branding, Affluent Life Branding agrees to make any necessary adjustments until all products that were previously agreed upon and fully paid for are complete. Regarding late payments on any product from Affluent Life Branding, as soon as Affluent Life Branding does not receive a payment from the client, Affluent Life Branding may no longer work on the client’s project. However as soon as the client makes their payment, Affluent Life Branding agrees to resume. Should this situation occur, Affluent Life Branding is not responsible for any losses or damages to the client as a result of the project taking longer to complete, due to the client being late on their payment.

Product Content & Maintenance

When adding new content to or maintaining any product purchased from Affluent Life Branding, unless the client purchases Affluent Life Branding’s content and/or maintenance services, the client is responsible for providing all text (in digital format) and all images/photos.

Indemnification

Client shall indemnify and hold harmless Affluent Life Branding (and its subsidiaries, affiliates, officers, agents, co-branders, partners, and employees) from any and all claims, damages, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys’ fees and all related costs and expenses) incurred by Affluent Life Branding as a result of any claim, judgment, or adjudication against Affluent Life Branding related to or arising from (a) any photographs, illustrations, graphics, audio clips, video clips, text, data or any other information, content, display, or material (whether written, graphic, sound, or otherwise) provided by Customer to Affluent Life Branding (the “Customer Content”), or (b) a claim that Affluent Life Branding’s use of the Customer Content infringes the intellectual property rights of a third party. To qualify for such defense and payment, Affluent Life Branding must: (i) give Customer prompt written notice of a claim; and (ii) allow Customer to control, and fully cooperate with Customer in, the defense and all related negotiations.

Services

For all clients, at no cost, Affluent Life Branding accumulates definite facts via extensive ‘research’ of the client’s industry and/or competitors pertaining to the desired services that the client is initially interested in. Affluent Life Branding also offers the client the opportunity to go over this ‘research’ that is obtained by Affluent Life Branding. Based upon this ‘research’, Affluent Life Branding determines as to whether or not they are able to offer the desired services from the client. Also based upon this ‘research’ from Affluent Life Branding, the client is able to learn even more and have an even better understanding of the service(s) that they desire from Affluent Life Branding, which as result allows the client the opportunity to become even more informed and aware of the desired service(s) from Affluent Life Branding before purchasing, enabling the client to make an informed and clear decision as to whether or not they want Affluent Life Branding’s services. These are the primary sole purposes for the ‘research’ that is gathered by Affluent Life Branding and presented to the client. Therefore Affluent Life Branding and the client agree that this ‘research’ is to never be used, by any means, as a form of a ‘guarantee’ to obtain anything. Regarding the public’s ‘choice’, although Affluent Life Branding provides services that help the client become more aware by the public, making the public ‘choose’ the client is a service that Affluent Life Branding does not offer. Therefore Affluent Life Branding is not responsible for any outcome that may occur as a result of the public not choosing the client. Regarding refunds for all services provided by Affluent Life Branding, because the production for all services provided by Affluent Life Branding require an unexchangeable amount of time, all payments made by the client to produce the desired services are non-refundable. Therefore if the client no longer wants to do business with Affluent Life Branding, all monies paid prior to that point are retained by Affluent Life Branding. Regarding late payments on any service from Affluent Life Branding, as soon as Affluent Life Branding does not receive a payment from the client, Affluent Life Branding may no longer work on the client’s project. However as soon as the client makes their payment, Affluent Life Branding agrees to resume. Should this situation occur, Affluent Life Branding is not responsible for any losses or damages to the client as a result of the project taking longer to complete, due to the client being late on their payment.

Confidentiality

The parties agree to hold each other’s Proprietary or Confidential Information in strict confidence. “Proprietary or Confidential Information” shall include, but is not limited to, written or oral contracts, trade secrets, know-how, business methods, business policies, memoranda, reports, records, computer retained information, notes, or financial information.

Force Majeure

Neither party will be liable for, or will be considered to be in breach of or default under this Agreement on account of, any delay or failure to perform as required by this Agreement as a result of any causes or conditions that are beyond such Party’s reasonable control and that such Party is unable to overcome through the exercise of commercially reasonable diligence. If any force majeure event occurs, the affected Party will give prompt written notice to the other Party and will use commercially reasonable efforts to minimize the impact of the event.
